Terms of Service

1. About SHIFT AI

  • SHIFT AI (operated by SHIFT Capital LLC, hereafter "SHIFT," "we," "us") is a creative software platform. Members purchase prepaid credits to use our AI Studio — image, video, voice, avatar, music, lipsync, chat, and translation generation tools — accessible at suite.shiftai.club.
  • The Studio is the product. Credits are the unit of consumption. By creating an account or making a purchase, you agree to these Terms of Service ("Terms") and our Privacy Policy.

2. Eligibility

  • You must be at least 18 years old to use SHIFT AI. Accounts found to be operated by minors will be terminated.
  • You must provide accurate registration details (legal name, valid email) and keep them current.
  • You may only operate one account unless we authorize otherwise in writing. Multi-accounting to manipulate attribution or earn additional commissions is grounds for termination and forfeiture of all balances.

3. Credits

  • Credits are an internal accounting unit used to consume Studio services. They are not real-world currency, not redeemable for cash, and not transferable between accounts.
  • Credit prices and per-generation costs may change at any time. The price displayed at checkout is the price you pay for that specific purchase. Credits already in your wallet are not affected by subsequent price changes.
  • Credits do not expire while your account is active. Inactive accounts (no login or generation activity for 24 months) may have unspent credits forfeited with 30 days written notice to the email on file.
  • Failed generations: if our AI provider returns an error, the credits are automatically refunded to your wallet. You are only charged when a generation successfully completes.

4. Refund policy

  • Unused credits: you may request a full refund of any UNUSED credit balance within 14 days of purchase. "Unused" means credits not yet spent on a successful Studio generation. Email support@shiftai.club with your order ID to initiate. Refunds are issued to the original payment method within 5-10 business days.
  • Used credits are non-refundable. Once you have spent credits on a successful generation, the value has been delivered and cannot be reversed.
  • Founder pack: the Founder pack is a one-time prepaid credit bundle plus a founding-rank membership badge. Credits within the Founder pack are refundable under the 14-day unused-credit policy above. The founding-rank badge itself becomes non-refundable 14 days after purchase, because it grants permanent platform benefits during that window.
  • Refunds are not available for accounts terminated for violations of these Terms or for chargebacks initiated outside the refund process.

5. EcoPay® attribution and affiliate commissions

  • SHIFT AI includes an attribution-based affiliate commission system called EcoPay®. When credit purchases by other members are attributed to you (because you shared a referral link or because you originally created content that drove the sale), you may earn a percentage commission.
  • How commissions are earned:
  • • ConnectPay (single-level direct referral): when a member buys credits using your referral link, you receive a percentage commission on that purchase. ConnectPay is a SINGLE-LEVEL affiliate commission — you only earn from purchases made by buyers you directly refer. There is no extended Crowd, no Crowd payout cascade, and no multi-level commission depth.
  • • ContentPay (content attribution): when a member purchases credits after engaging with AI-generated content you originally created and shared, you receive a small percentage attribution payment on that purchase.
  • • Performance pools (CompetePay, CrowdPay, CreditPay): SHIFT allocates a fixed percentage of platform revenue into weekly performance pools. These pools are distributed to members based on metrics like total platform sales generated, credits purchased, and credits actively used. Pool bonuses function as loyalty and performance rewards — analogous to a credit-card cashback program or airline frequent-flyer status — not as a multi-level marketing compensation plan.
  • What commissions are NOT:
  • • SHIFT does not pay any commission for the act of recruiting or enrolling new members. Sign-ups by themselves earn nothing. All EcoPay commissions are tied exclusively to real revenue from completed credit purchases.
  • • There are no enrollment fees, no "team building" bonuses, no rank-advancement bonuses, and no required minimum purchase to participate.
  • • There is no purchase requirement to maintain commission eligibility beyond holding an active account.
  • • Commissions are not paid from new member purchases to Crowd members — they are paid to the specific member whose referral or content drove the specific sale.
  • FTC earnings disclaimer: EARNINGS ARE NOT GUARANTEED. The amount earned through EcoPay depends entirely on individual effort, audience size, content quality, and market conditions. Most participants earn modest amounts or nothing. Statements about historical earnings reflect past results from specific members and are not representative of typical results or predictions of your future earnings. Do not use SHIFT AI primarily as an income opportunity.
  • Commissions accrue in cents and are paid weekly (typically Fridays) via Stripe Connect Express, subject to Stripe's minimum payout thresholds and verification requirements.
  • We may withhold, delay, or reverse commissions originating from fraudulent transactions, refunded purchases, automated traffic, attribution tampering, or violations of these Terms.
  • Commission rates and pool sizes may be changed at any time with at least 30 days notice to active members. Current rates are published in the Suite at suite.shiftai.club and in our EcoPay documentation.

6. Generated content

  • You own the AI-generated outputs (images, video, audio, text) you create using SHIFT AI, subject to the underlying AI providers' terms (OpenAI, Anthropic, Replicate, and others as integrated).
  • SHIFT retains a non-exclusive, royalty-free license to store, display, route attribution for, and reference content you save to the SHIFT Vault, solely for the purpose of operating the platform and providing the service to you and other members.
  • You grant other SHIFT members a limited license to "restamp" content you have publicly shared — restamping creates a new derivative asset with a layered attribution graph. The original creator continues to earn ContentPay attribution alongside the restamper's ConnectPay attribution. You may opt content out of restamping by deleting it from the public Vault.
  • You represent that you have all rights necessary to upload any source images or audio you provide to the Studio (your own face for avatars, your own voice samples, etc.). You will not upload material you do not have rights to.

7. Acceptable use

  • You may not use SHIFT AI to generate or distribute: child sexual abuse material; non-consensual intimate imagery (including deepfakes of real individuals without their explicit consent); content designed to harass or defame; impersonation of real individuals for fraud purposes; material that infringes third-party intellectual property rights; phishing material, fake KYC documents, or any content intended to defraud.
  • You may not abuse the attribution system: removing, obscuring, counterfeiting, or tampering with embedded SHIFT attribution tags; operating recursive restamping rings to inflate ContentPay; using bot-driven click farms to generate ConnectPay clicks; creating multiple accounts to manipulate attribution chains.
  • You may not bypass or attempt to bypass: rate limits, credit pricing, account authentication, payment processing, or any other technical control. Scraping, automated account creation, and reverse engineering are prohibited.
  • Violations result in account suspension, forfeiture of unpaid commissions and unused credits, and may result in civil or criminal legal action.

8. Account suspension and termination

  • We may suspend or terminate accounts that: violate these Terms; carry unresolved chargebacks or refund disputes; are determined to be fraudulent or operated by sanctioned individuals; or where required by law or by a third-party processor (Stripe, AI providers).
  • You may delete your account at any time by emailing support@shiftai.club. Any unused credits will be refunded under section 4 if within the 14-day window. Outstanding earned commissions above Stripe's minimum threshold will be paid out within 14 business days, subject to Stripe verification.
  • On termination, your right to use the Studio ends immediately. Generated content you have already saved or downloaded remains your property under section 6.

9. Disclaimers and limitation of liability

  • AI-generated content may be inaccurate, biased, offensive, or otherwise unsuitable for your purpose. You are responsible for reviewing generated content before sharing, publishing, or using it commercially.
  • SHIFT AI is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, uptime, or specific results. We do not guarantee specific earnings outcomes.
  • To the maximum extent permitted by law, SHIFT and its operators, contractors, and affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption.
  • Our maximum aggregate liability to you, regardless of cause, is limited to the total amount you paid SHIFT in the 90 days preceding the event giving rise to the claim.

10. Governing law and dispute resolution

  • These Terms are governed by the laws of the State of California, USA, excluding conflict-of-laws principles. SHIFT Capital LLC is based in the United States.
  • Any dispute arising from these Terms or your use of SHIFT AI will be resolved by binding individual arbitration administered by JAMS under its Comprehensive Arbitration Rules, with arbitration seated in San Francisco County, California. Both parties waive the right to participate in a class action, class arbitration, or representative proceeding.
  • Notwithstanding the above, either party may seek injunctive relief in court to protect intellectual property rights or address account misuse.
  • Members outside the United States: the same Terms apply, subject to any non-waivable consumer protections in your jurisdiction.

11. Changes to these Terms

  • We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date, and we will notify active members by email at least 30 days before they take effect. Continued use of SHIFT AI after the effective date constitutes acceptance of the revised Terms.
